11. 售后服务: 设备在保修期内出现故障, 卖方须配合买方排除故障, 并在必要情况下免费提供配件, 买方承担国际快递费用; 设备出保修期后, 如需要更换配件, 买方须支付相应配件款并承担国际快递费用。 如买方需要卖方派遣工程师至买方处安装调试及维修设备, 买方须承担工程师在当地的交通费用及食宿费用, 并付给工程师工资每人每日100美金: 卖方承担工程师首次出差往返机票及签证费用。
After-sales Service: During the warranty period, the seller shall support the buyer to solve the problems occurs and supply the parts freely if necessary. The buyer will bear the costs of express. After the warranty expires, the buyer need to pay for the parts and bear the costs of express. If the buyer needs the seller to send technicians to install or repair the machines, the buyer shall bearing the costs of local transportation and accommodation, as well as the technician’s salary 100USD/day/person; the seller shall bear the costs of round-trip air ticket and visa for the first trip.

12. 品质与数量异议与索赔: 货到目的港后, 买方如发现货物品质或数量与合同规定不符, 除属于保险或船公司的责任外, 买方可以凭双方同意的检验机构出具的证明原件向卖方提出异议。 品质异议须于货到目的港之日30天内提出, 数量异议须于货到目的港15天内提出。 卖方收到异议后30日内答复买方。
Quality and quantity, discrepancy and claim: in case the quality and quantity are found to be not in confirming with the stipulated in contact at the port of destination, they buyer may lodge claim against the seller supported by survey report issued by an inspection organization agreed upon by both parties, with the exception,however, of those claims of which the insurance company or the shipping company are to be held responsible, claim for quality discrepancy should be filed by the buyer within 30 days after arrival of the goods at the port of destination, while for quantity discrepancy claim, should be filed by the buyer within 15 days after arrive of the goods at the port of destination. The seller shall reply the buyer with 30 days after receipt of the notification of the claim.
13. 不可抗力：由于人力不可抗拒事故，使得买方不能在本公司规定期限内交货或不能交货，卖方不负责任。但卖方必须立即以邮件通知买方。如买方提出要求，卖方应以挂号函向买方提供由中国国际贸促进委员会或有关机构部门出具的发生事故的证明文件。
Force Majeure: In case of force majeure, the seller shall not be held responsible for late delivery or non-delivery of the goods, but shall notify the buyer by e-mail. The sheller shall deliver to the buyer by registered mail, if so requested by the buyer, a certificate issued by the China council for the promotion of international trade or any competent authorized.
14. 仲裁: 凡因执本合同或与本合同有关事项发生的一切争执, 应由双方通过友好协商解决。 如果能取得协议时, 则在中国山东根据仲裁程序规则进行仲裁, 仲裁决定是终局的。 仲裁费用除非仲裁机构另有规定, 否则均由败诉方负担。
Arbitration: All disputes in connection with this contact or the execution there of shall be solved by negotiation between two parties if no settlement can be reached, the case in dispute shall then be submitted for arbitration in Shandong, China. In accordance with the arbitration regulations of the arbitration organization of China the decision made by the arbitration organization shall be taken as final and binding upon both parties. The arbitration expenses shall be borne by the losing party unless otherwise awarded by arbitration organization.
